Welcome to UGC 21tab. These Terms & Conditions ("Terms") govern your use of our website and the UGC content creation services provided by UGC 21tab ("we," "us," or "our"). By using our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.
1. Acceptance of Terms
By accessing our website, submitting a contact form, or engaging our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
2. Services Description
UGC 21tab provides user-generated content (UGC) video creation services for brands and businesses. Our services include, but are not limited to:
- UGC Ad Creative production
- Product Review Videos
- Unboxing Experience Videos
- How-To and Tutorial Videos
- Social Media Content (Instagram Reels, TikTok, YouTube Shorts, etc.)
- Testimonial-Style Videos
- Creative strategy, scripting, and post-production services
The specific scope, deliverables, and timeline for each project will be agreed upon between UGC 21tab and the Client before the commencement of work, typically outlined in a project brief or proposal.
3. Project Workflow
3.1 Inquiry & Proposal
After receiving your inquiry through our contact form or direct communication, we will schedule a discovery call and provide a customized project proposal outlining the scope, deliverables, timeline, and pricing.
3.2 Agreement & Payment
Work will commence only after both parties agree on the project scope and the required advance payment (if applicable) has been received.
3.3 Production
We will proceed with content creation as per the agreed-upon project brief. The Client is responsible for providing necessary product samples, brand guidelines, and any other materials required for production in a timely manner.
3.4 Review & Revisions
Upon completion, the Client will receive draft deliverables for review. Revision rounds are included as specified in the project proposal. Additional revisions beyond the agreed scope may incur extra charges.
3.5 Final Delivery
Final files will be delivered in the agreed-upon format(s) and resolution(s) upon approval and completion of payment.
4. Payment Terms
- All pricing and payment terms will be outlined in the project proposal
- An advance payment (typically 50%) may be required before the commencement of work
- The remaining balance is due upon delivery of final content, unless stated otherwise
- All payments are to be made via the agreed-upon payment method (bank transfer, UPI, or other agreed methods)
- Late payments may be subject to a late fee as outlined in the project proposal
- Prices are quoted in Indian Rupees (₹) unless otherwise specified
5. Intellectual Property & Content Rights
5.1 Content Ownership
Upon full payment and delivery of final content, the Client receives a license to use the delivered content for the purposes agreed upon in the project brief (e.g., social media advertising, website use, e-commerce listings).
5.2 Portfolio Rights
UGC 21tab retains the right to showcase deliverables in our portfolio, website, social media, and marketing materials, unless explicitly agreed otherwise in writing. We may use anonymized metrics and case study information to promote our services.
5.3 Third-Party Content
The Client warrants that any materials, brand assets, or content provided to us for use in the project do not infringe on any third-party intellectual property rights. The Client shall indemnify UGC 21tab against any claims arising from the use of Client-provided materials.
6. Revisions & Modifications
- Each project includes a specific number of revision rounds as outlined in the project proposal
- Revision requests must be submitted within 7 business days of receiving draft deliverables
- Revisions are limited to changes within the original project scope. Major changes to the creative direction or concept may be treated as a new project
- Additional revisions beyond the agreed scope will be billed at our standard hourly rate
7. Cancellation Policy
- Before Production: If the Client cancels the project before production begins, any advance payment will be refunded minus a 15% administrative fee
- During Production: If cancellation occurs after production has begun, the advance payment is non-refundable, as resources and time have been committed
- After Delivery: No refunds will be issued after final content has been delivered and approved by the Client
UGC 21tab reserves the right to cancel a project if the Client fails to provide required materials or communication within a reasonable timeframe (14 business days from the last request).
8. Client Responsibilities
The Client agrees to:
- Provide accurate and complete project information, brand guidelines, and materials
- Respond to communication and review requests in a timely manner
- Provide product samples (if applicable) at their own cost
- Ensure that all provided materials are legally owned or properly licensed
- Make payments as per the agreed schedule
9. Limitation of Liability
UGC 21tab's liability for any claims arising from our services shall not exceed the total amount paid by the Client for the specific project in question. We are not liable for:
- Loss of profits, revenue, or business opportunities resulting from the use or inability to use our content
- The performance of content in advertising campaigns, as results depend on multiple factors beyond our control (ad targeting, budget, platform algorithms, market conditions, etc.)
- Any indirect, consequential, or incidental damages
- Delays caused by circumstances beyond our reasonable control (force majeure)
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes, but is not limited to:
- Business strategies and marketing plans
- Financial information and pricing terms
- Unreleased products or services
- Trade secrets and proprietary processes
This confidentiality obligation shall survive the termination of the business relationship for a period of 2 years.
11. Dispute Resolution
In the event of any dispute arising from these Terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be referred to mediation or arbitration in accordance with the applicable laws.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be conducted in the courts of competent jurisdiction in India.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting on this page with an updated "Last updated" date. Your continued use of our website or services after such changes constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
